I am wondering what this upgrade does exactly it says if it fails to wound an enemy it must re-roll the dice.

but the Giant spiders already got that ability right? or is it so that you have to re-roll both attack dice with that upgrade , instead of 1 from their own venom ability?

Yes, if you upgrade to venom-back spiders then you re-roll all failed wound rolls. Which is quite nice with str 5.

Without the up-grade don't they just re-roll ones to wound? So the upgrade is actually quite good...

Normal spiders re-roll all 1's, the upgraded variety may re-roll all dice that failed to wound on whatever number.
